Terms of Use for WingU AI

These Terms of Use ("Terms") govern your access to and use of WingU AI and its related services (collectively, the "Service") provided by LD1 Labs, LLC. DBA WingU AI ("WingU AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. You also acknowledge that you have read, understood, and agree to be bound by these Terms, and our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

WingU AI provides an AI dating coach service that offers personalized feedback and guidance on flirting and dating through interactions with AI personas. The Service is intended to be educational and for entertainment purposes only. We do not guarantee any specific dating outcomes or successes as a result of using the Service.

3. User Accounts

• Account Creation: To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
• Account Responsibility: You are solely responsible for all content and activity on your account.

4. User Conduct

You agree to use the Service in a responsible and lawful manner. You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Violate any applicable laws or regulations in your jurisdiction.
• Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
• Spam, phish, pharm, pretext, spider, crawl, or scrape.
• Interfere with or disrupt the operation of the Service or the servers or networks used to make the Service available.
• Attempt to circumvent any security measures of the Service.
• Use the Service for commercial purposes without our express written consent.

5. Intellectual Property

• WingU AI Content: The Service and its original content, features, and functionality (including but not limited to AI models, personas, text, graphics, logos, and software) are owned by LD1 Labs, LLC. and are protected by copyright, trademark, and other intellectual property laws.
• Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, in accordance with these Terms.
• User Content: You retain ownership of the content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service and our business. This license is solely for the purpose of operating, developing, promoting, and improving the Service.  
• Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Service, you agree that we may use such feedback without any obligation to you.  

6. Payment and Subscriptions

• Subscription Fees: Access to certain features of the Service may require a subscription fee. Subscription fees and billing cycles will be as specified within the Service or on our website.
• Payment Processing: You agree to provide valid payment information and authorize us or our third-party payment processors to charge you the applicable subscription fees.
• Automatic Renewal: Subscriptions may automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date. You can manage your subscriptions in your account settings.  
• Price Changes: We reserve the right to change our subscription fees at any time, upon reasonable notice to you.
• Refunds: Refunds are at our sole discretion and will be handled on a case-by-case basis.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SERVICE OR ANY CONTENT AVAILABLE THROUGH THE SERVICE. ESPECIALLY, WE DO NOT WARRANT THAT USING WINGU AI WILL LEAD TO SUCCESSFUL DATING OUTCOMES OR RELATIONSHIPS.  

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LD1 LABS, LLC. OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING OR USING THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.  

9. Indemnification

You agree to indemnify, defend, and hold harmless LD1 Labs, LLC. and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another party.  

10. Termination

• Termination by You: You may terminate your account and stop using the Service at any time.
• Termination by Us: We may terminate or suspend your access to the Service, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.
• Effect of Termination: Upon termination, your right to access and use the Service will cease immediately.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state and federal courts located in California.

12. Changes to Terms

We reserve the right to modify or revise these Terms at any time. We will notify you of any material changes by posting the updated Terms within the Service or on our website, and updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after the posting of changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.
